End-user license agreement

1. Terms and Conditions

Before you start using your MLS device, please read the end-user license agreement carefully. If you are already using an MLS device, you indicate that you acknowledge and agree to the terms and conditions of this License. If you recently purchased an MLS product and you disagree with the content of the terms and conditions of this License, you can return your device to an MLS store or to an authorized MLS reseller and ask for a refund, provided you complied with the terms of the MLS Return Policy.

1. Important notice

This license is the End-User Software License Agreement (hereinafter is referred to as the "License") between you (individual, company or other entity) and MLS Innovation Inc. (hereinafter is referred to as "MLS") in relation to the use of such software (see Chapter 3.A) of this License. We recommend that you read this License carefully, before using your MLS device. Using an MLS device as well as downloading software updates is an acceptance of the terms contained in this License. In case you disagree with these terms, don’t use your MLS devise and do not proceed in downloading software updates. If you disagree with this particular License, including the consent to use the data as referred to in Chapter 8, you may be able to return your device to an MLS Store or an MLS authorized reseller from where you purchased it, to get a refund, always taking into account the terms of the MLS return policy. The terms of the return policy comply with the relevant laws and regulations of the country/region that the purchase was made. The software governed by this License does not include open source software in accordance with Chapter 3.B. You may find and download a copy of this License for future use on the MLS website (www.mls.gr) at any time.

1.3. General terms

A. The software is defined for these purposes of the current License as:

(1) the software components provided to you with an MLS device, includes, codes, other embedded software, documents, interfaces, content, fonts and all data stored on the device that is protected by the MLS intellectual property rights or its licensors.

(2) Updates or upgrades to the referred are in the paragraph (1) above.

The software excludes the open source software components as described in Chapter 3.B

B. MLS updates or upgrades may contain copyrighted software licensed by open source ("Open Source Software"). This software is identified as such through the relevant license information contained in the device. This license indicates that the software is licensed under the Open Source Software License. When the user uses this software, the Open Source Software License applies. This License does not change your rights and your obligations according to the Open Source Software License. If conflicts arise between the terms of this License and the Open Source License, the terms of the Open Source Software License will prevail.

C. This License, unless there is a different agreement, it applies regardless of the means, in which the Software is stored, whether it is stored in the device's internal memory, on another medium, or on the MLS site from which it can be downloaded.

1.4. End user software license

You have the right to use the Software (as defined in Section 3.1.) on a single MLS device in a limited and non-exclusive manner according to the terms and conditions of the License. The Software can not be sold, transferred or used for other commercial purposes.

1.5. Restriction of use

A. You may not use the MLS technologies or intellectual property to develop, design, manufacture, sell or license MLS-related third-party devices or parts without the prior consent of MLS.

B. For archival purposes, you can make a copy of the Software on the hard drive of a computer or other storages. You may not distribute the Software through networks, so that it will be available on multiple devices. 

C. It is not allowed to rent, sell, lend, lease or distribute part or all of the Software, to third parties without the prior written permission of MLS. You may, however, make a definitive transfer of the entire Software License to a third party with the ownership of your MLS device under the following terms:

(1) The transfer must include the MLS device and the entire MLS software

(2) It does not preserve a copy of the Software in its entirety or a part of it.

(3) The third party receiving the device and the software has read and accepted the terms and conditions of this License.

D) Unless it is stated explicitly somewhere else, you accept and agree not to copy, decompress, remodel, disassemble or create derivative works of the Software or allow any other person to copy it.

Ε) Authorization is required by the relevant recipients, in specific countries or regions, in order to use the Software for storage or copying. The Software of MLS can be used to reproduce contents, unless these contents are not limited by copyright, you are the copyright owner, or have been authorized or allowed to legally reproduce these media.

F. You agree to use the Software only in accordance with all laws and regulations, which apply in the countries or regions where you reside or use the Software.

6. Reserve all rights

MLS and its licensors own and retain all rights for the Software. They retain any other rights that weren’t granted to you explicitly by this License.

7. Data protection policy

The MLS Innovation Inc. Privacy Statement policy, hereinafter it will be referred to as "Statement of Protection", provides information about the data collected by MLS, as well as the ways in which these data are being used by MLS. In order to use the Software on your device, MLS will collect data from your device in accordance with the terms of this License. 8. Consent of data usage

A. All data collected by your device can be processed and transferred to MLS and its licensors in countries other than the country of residence. This means that the data can be transferred or accessed from and outside of the country, wherever you use the MLS products or services. These regions may have different data protection laws or they may not have any relevant legislation. In such cases MLS will ensure that there is a similarly satisfactory level of data protection that is required by all applicable laws and regulations.

B. MLS retains the data only for a necessary amount of time, in order to fulfill the purposes that are stated in this license and in the Privacy Statement, unless a longer period of retention is required or permitted by law. Although MLS has taken all the necessary technical and organizational steps to prevent unauthorized access or publishment of your data, you should keep in mind that no protection measure is completely safe.

C. This consent may be withdrawn at any time with immediate effect. In the case of withdrawal, the provisions laid down in Chapter 10 apply and govern the expiry of this license

9. MLS applications, third-party applications and updates

A. Although MLS is under no obligation to provide you with update services; she may provide you with software updates. All updates provided by MLS as supplementary or replacement software are governed by this License, unless there is a different end-user license that is associated with the update, which takes precedence over this License. If you decide not to download an MLS update, you understand that you may cause instability or misuse of the Software or expose it to a serious security risk.

B. Some functions of the Software may be limited by the version. Updating the latest version can improve the user’s experience. Some of the Software products feature an automatic update function. The automatic update of the MLS Software gets activated only through Wi-Fi; you can disable this setting from the Software Settings. By accepting this License, you state that you agree to enable the automatic updating feature for the MLS Software.

C. If you install and/or use third-party applications or visit websites and advertisements of third-parties, then the terms and policies of third parties apply. You will take over all risks and legal responsibilities when using third party services or products.

1. Validity period and termination

A. This License applies from the first date of installation of the Software. You may terminate the validity of this license by deleting, destroying and returning at your own expense the Software, all back-ups and all related materials provided to you by the MLS at any time. If you do not comply with the terms and conditions of this License, MLS or its licensors may terminate at any time without notice. If you do not comply with the terms and conditions of this License, MLS or its licensors can terminate the validity period of this License at any time, without notice. After the termination, YOU MUST discontinue with the use of the Software immediately and delete all Software and related materials that have already been copied or installed on your MLS device.

B. Chapters 8, 11, 12, 13, 14, 16 of this License remain valid even after the expiration.

1. DISCLAIMER OF WARRANTIES

A. YOU ACKNOWLEDGE THAT THE SOFTWARE IS PROVIDED "AS IS", WITHOUT ANY KIND OF WARRANTY, EXPRESSED OR IMPLIED, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

NEITHER MLS, NOR ITS LICENSORS OR AFFILIATES OR THE RELATED COPYRIGHT HOLDERS MAY PROVIDE ANY COMMITMENT OR GUARANTEE, EXPRESSED OR IMPLIED, INCLUDING INDICATIVE WARRANTIES OF MERCHANTABILITY OF SATISFAING QUALITY, SUITABILITY FOR A PARTICULAR PURPOSE, ACCURACY, CONSTANT USE AS WELL AS THE MAINTENANCE OF THIRD PARTY RIGHTS. MLS OR ANY OTHER THIRD PARTY, DO NOT PROVIDE ANY GUARANTEE THAT THE FUNCTIONS INCLUDED IN THE SOFTWARE WILL SATISFY YOUR REQUIREMENTS, OR WHETHER THE SOFTWARE OPERATING SYSTEM WILL RUN SMOOTHLY WITHOUT MISTAKES OR INTERAPTIONS. YOU ARE COMPLETELY LIABLE FOR THE CHOICE OF THE SOFTWARE, FOR THE ACHIEVEMENT AND THE RESULTS BUT ALSO FOR THE INSTALLATION OF THE SOFTWARE, THE USE AND THE RESULTS RESULTING FROM HIS SELECTION.

B. THE INSTALLATION OF THIS SOFTWARE MAY AFFECT THE AVAILABILITY OF THIRD PARTY SOFTWARE, APPLICATIONS OR SERVICES. MLS DOES NOT GUARANTEE THAT THE CHARACTERISTICS OR THE SERVICES WHICH ARE INCLUDED IN THIS SOFTWARE WILL MEET YOUR EXPECTATIONS, NOR THAT THE SOFTWARE AND ITS SERVICES WILL NOT CONTAIN ERRORS OR THAT THE SOFTWARE WILL PROVIDE CONTINUOUS AND PERMANENT SERVICES. ADDITIONALLY MLS DOES NOT PROVIDE ANY GUARANTITIES THAT THE SOFTWARE WILL BE COMPATIBLE WITH THIRD PARTY SOFTWARES OR SERVICES.

C. YOU ALSO RECOGNIZE THAT THE SOFTWARE OF MLS AND ITS SERVICES ARE NOT SUITABLE FOR SITUATIONS, IN WHICH FAULTS, DELAYS OR INACCURACIES IN INFORMATION DATA OR WITHIN THE CONTENT THAT IS PROVIDED BY THE MLS SOFTWARE OR ITS SERVICES, CAN RESULT IN DEATH, SEVERE PHYSICAL INJURY OR ENVIRONMENTAL DAMAGE, WHICH INCLUDES WITHOUT LIMITATION TO THE OPERATION OF NUCLEAR FACILITIES, NAVIGATION, AIRCRAFT COMMUNICATIONS, AIR TRAFFIC CONTROL, LIFE SUPPORT OR ARMOR SYSTEMS.

1. 12. RESTRICTION OF LIABILITY

A. MLS DOES NOT BEAR ANY RESPONSIBILITY REGARDING SOFTWARE’S PROBLEMS THAT MAY APPEAR FROM BAD OR WRONG USE OR ANAUTHORIZED CONVERSIONS.

B. To the extent that is allowed by the current legislation, MLS, her EMPLOYEES AND her LICENSORS OR ASSOCIATES ARE NOT RESPONSIBLE FOR ANY LOSS OF PROFITS

1. 12. RESTRICTION OF LIABILITY

A.MLS TAKES NO RESPONSIBILITY FOR ΤΗΕ SOFTWARE PROBLEMS THAT MAY ARISE FROM POOR OR IMPROPER USE OF UNAUTHORIZED CONVERSIONS.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, MLS, ITS EMPLOYEES AND ITS LICENSORS, OR ITS AFFILIATES ARE NOT RESPONSIBLE FOR ANY LOSS OF PROFITS, SALES, REVENUE, DATA OR COST OF PROCUREMENT OF SUBJECT GOODS OR SERVICES, PERSONAL INJURY OR PROPERTY DAMAGES, BUSINESS INTERRUPTION, LOSS REGARDING BUSINESS INFORMATION, OR FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL, ECONOMIC, PUNITIVE DAMAGES, HOWEVER IT MAY OCCURED, AND WHETHER IN CONTRACT, TORT, NEGLIGENCE OR OTHER THIRD PARTY RESPONSIBILITY ARISING OUT OF THE USE OR INACCURACY OF THE SOFTWARE, EVEN IF THE MLS OR ITS LICENSORS OR ITS AFFILIATES ARE INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. IN CERTAIN AREAS IT IS NOT ALLOWED THE LIMITATION OF LIABILITY FOR PERSONAL INJURY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, THIS LIMITATION MAY NOT APPLY TO YOU.

C. UNDER NO CIRCUMSTANCES CAN MLS CARRY THE WHOLE RESPONSIBILITY BEFORE YOU FOR ALL DAMAGES, (EXCEPT FROM THOSE WHO MAY BE APPLIED BY THE APPLICABLE LAW IN THE EVENT OF DEATH OR INJURY THAT ARE INCIDENTS OF MLS), THAT MAY HAVE OCCURRED, AND SHE CAN’T OVERCOME THE AMOUNT YOU HAVE PAID FOR YOUR MLS DEVICE. 

1. 13. Technical support

MLS has no obligation to provide you with any technical support service for the Software under this license. 

1. 14. Export controls

Software is subject to the laws and regulations applicable to exports to the country of purchase of the software. You must comply with domestic and international export laws and regulations applicable to the software.

1.15. Correspondence

All notifications and correspondence are made in writing by registered mail or sent through registered mail.

1. 16. Settlement of disputes and rule of law

Validation, interpretation, modification, implementation and dispute settlement of this license are governed by the laws of Greece. All disputes about the terms of this license would be better to settle out of court. As a last resort, the dispute will be referred to the competent Courts of Thessaloniki, in Greece.
